Section 1 – Definitions 

1.1 In these Terms: 

  • Applicant means a person introduced by Zanda to the Client. 

  • Client means the person, firm, or corporate entity (including any affiliates, subsidiaries, or parent companies) to which an Applicant is introduced or for whom Zanda performs services. 

  • Company refers to Zanda Search LTD. 

  • Engagement means the employment, appointment, or use of the Applicant in any capacity by the Client or a related entity, whether directly or indirectly. 

  • Introduction means the presentation of an Applicant by Zanda to the Client by any means (including CVs, emails, calls, or meetings). 

  • Services refers to the executive recruitment and related services provided by Zanda. 

  • Shared Personal Data means any personal data exchanged for the purposes of recruitment and engagement processes. 

  • Terms means these Terms of Business. 

Section 2 – Contract Formation 

2.1 These Terms govern all work undertaken by Zanda on behalf of the Client and override any terms proposed by the Client unless otherwise agreed in writing. 

2.2 Acceptance of these Terms occurs when: 
(a) the Client instructs Zanda to begin a search (verbally or in writing); 
(b) Zanda submits Applicant information to the Client; 
(c) the Client interviews or contacts an Applicant; 
(d) the Client makes an offer of Engagement. 

Section 3 – Scope of Services 

3.1 Zanda provides executive recruitment, strategic advisory, and talent acquisition services across various jurisdictions. Services may be delivered on a retained, exclusive, or contingent basis. 

3.2 Zanda’s services are global and tailored to high-growth companies with hiring needs in the United Kingdom, the United States, and beyond. 

3.3 Zanda may also deliver additional services by prior agreement, including but not limited to: 

  • Market benchmarking; 

  • Candidate mapping; 

  • Succession planning; 

  • Talent strategy consulting. 

Section 4 – Exclusivity and Withdrawal 

4.1 For exclusive or retained assignments, the Client agrees not to engage additional agencies for the same role unless expressly agreed. 

4.2 If an assignment is withdrawn or materially altered after commencement, Zanda reserves the right to charge for work delivered up to the date of withdrawal. 

Section 5 – Introductions and Engagements 

5.1 An Engagement fee is payable if an Applicant is Engaged by the Client or any associated third party within twelve (12) months of Introduction. 

5.2 If the Client refers an Applicant to a third party who subsequently Engages them within the same period, the Client remains liable under these Terms. 

5.3 The Client must notify Zanda upon offering a role to an Applicant. 

Section 6 – Replacement Guarantee 

6.1 Zanda will provide a one-time replacement search at no additional cost if: 
(a) the Applicant leaves within twelve (12) weeks of their start date (excluding fixed-term contracts of less than twelve weeks); 
(b) Zanda is notified in writing within seven (7) days of the departure; 
(c) the original invoice was paid in full and on time; 
(d) the departure was not due to redundancy, significant role change, or breach of contract; 
(e) the Applicant is not re-engaged within twelve (12) months. 

6.2 For retained search assignments, the replacement window may extend to twenty-four (24) weeks by prior agreement. 

6.3 This guarantee does not apply to non-executive, commission-only, or consultancy roles unless otherwise agreed. 

Section 7 – Confidentiality and Data Protection 

7.1 Each party agrees to comply with all applicable data protection laws, including the UK GDPR and the Data Protection Act 2018. 

7.2 Shared Personal Data shall be used solely for recruitment and hiring purposes. Both parties agree to implement appropriate safeguards against unauthorised access or disclosure. 

7.3 All materials, communications, and Applicant information provided by Zanda remain confidential and must not be disclosed to any third party without written permission. 

Section 8 – Intellectual Property 

8.1 All research, documents, and candidate materials remain the intellectual property of Zanda. The Client may use these materials only in connection with the services provided under these Terms. 

Section 9 – Liability 

9.1 Zanda undertakes to perform services with reasonable skill and care but makes no representation or warranty regarding the accuracy of Applicant-provided information or their suitability for any role. 

9.2 The Client is solely responsible for the final hiring decision, including all reference, right-to-work, and background checks. 

9.3 Zanda shall not be liable for any indirect or consequential loss or loss of profit arising from an Applicant’s actions or Engagement outcome. 

9.4 Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence or for fraud. 

Section 10 – Termination 

10.1 Either party may terminate a live assignment at any time with written notice. 

10.2 Zanda reserves the right to invoice for services performed up to the date of termination. 

10.3 Termination does not affect any accrued obligations, rights, or liabilities. 

Section 11 – Notices 

11.1 Notices must be delivered in writing to:

11.2 Notices are deemed received: 
(a) upon delivery by hand; 
(b) two working days after posting; 
(c) upon email transmission during business hours. 

Section 12 – Governing Law 

These Terms shall be governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
